BREAKAWAY TRADING CARDS VIP UPGRADE PROMOTION

OFFICIAL RULES

1. Promotion Overview

The Breakaway Trading Cards VIP Upgrade Promotion (the “Promotion”) gives eligible festival attendees the opportunity to receive a one-day VIP upgrade at participating Breakaway Music Festival events.

For each participating festival day, thirty-seven (37) Trading Cards will be available through the Promotion, consisting of twenty-two (22) Base Cards and fifteen (15) VIP Winning Cards. Cards are randomly distributed.

Trading Card packs are available for purchase for $20 at participating Breakaway merchandise booths while supplies last. A free method of entry is also available as described below.

No purchase is necessary to participate or win. A purchase will not increase your chances of receiving a VIP Winning Card.

2. Eligibility

The Promotion is open to legal residents of the United States who are 18 years of age or older at the time of participation and who possess a valid admission ticket to the applicable participating Breakaway Music Festival event.

Employees, officers, directors, representatives, and agents of Breakaway Music Festival, its affiliates, promotional partners, and members of their immediate families or households are not eligible to participate.

Void where prohibited or restricted by law.

3. Promotion Period

The Promotion is available during participating Breakaway Music Festival event dates and only during the operating hours of the applicable festival.

For each participating festival day, the Promotion begins when the applicable Breakaway merchandise booth opens and ends upon the earlier of:

(a) the close of merchandise operations for that festival day; or
(b) distribution of all Trading Cards available for that festival day.

Trading Cards and VIP upgrades are available while supplies last.

4. How to Participate

There are two ways to participate in the Promotion:

Purchase Method: Eligible attendees may purchase a Breakaway Trading Card pack for $20 at a participating Breakaway merchandise booth while supplies last. Each pack contains one randomly distributed Trading Card.

Free Method of Entry: No purchase is necessary. Eligible attendees may receive one free entry by visiting the participating Breakaway merchandise booth during the applicable festival day and requesting a free entry into the Breakaway Trading Cards VIP Upgrade Promotion from a merchandise staff member.

Free entries will have the same opportunity to receive a VIP Winning Card as entries obtained through the purchase method.

Limit one (1) free entry per eligible person per festival day. No payment, purchase, or other consideration is required to receive a free entry.

5. Winning Cards and Odds

For each participating festival day, the Promotion will include:

22 Base Cards
15 VIP Winning Cards
37 Total Cards

VIP Winning Cards are randomly distributed.

At the beginning of each festival day's Promotion, fifteen (15) of the thirty-seven (37) available cards will be VIP Winning Cards. The odds of receiving a VIP Winning Card at the beginning of the Promotion are therefore 15 in 37, or approximately 40.5%.

Actual odds at the time of participation may vary depending on the cards previously distributed and redeemed.

A purchase does not increase the odds of winning.

6. VIP Upgrade

Each valid VIP Winning Card entitles the recipient to one (1) VIP admission upgrade for one (1) person for the applicable festival day.

The participant must already possess a valid admission ticket for the applicable festival day. The VIP upgrade changes the participant's admission level only and does not provide admission to the festival by itself.

VIP upgrades are valid only for the festival day associated with the winning card.

A Day 1 VIP Winning Card is valid for Day 1 only and may not be transferred, deferred, exchanged, or applied to Day 2. A Day 2 VIP Winning Card is valid for Day 2 only.

VIP upgrades have no cash value and may not be sold, transferred to another person, exchanged, substituted, or redeemed for cash.

VIP access remains subject to applicable festival and venue policies, rules, restrictions, and capacity limitations.

7. How to Redeem a VIP Winning Card

Winners must bring their original VIP Winning Card to the VIP Upgrades Tent during the applicable festival day to redeem their upgrade.

At the VIP Upgrades Tent, festival staff will verify the unique serial number printed on the VIP Winning Card against Breakaway's official list of winning serial numbers.

Once the serial number has been verified, festival staff will mark that serial number as redeemed and provide the winner with one (1) VIP wristband for the applicable festival day.

Each winning serial number may be redeemed one time only. Once a winning serial number has been marked as redeemed, the corresponding VIP Winning Card is no longer eligible for an additional VIP upgrade.

Winners may be required to present their valid festival admission ticket and/or other reasonable verification of eligibility before receiving their VIP wristband.

VIP Winning Cards must be redeemed during the festival day for which they are valid. Day 1 VIP Winning Cards cannot be redeemed or transferred for a Day 2 VIP upgrade.

Lost, stolen, altered, duplicated, counterfeit, damaged, or otherwise invalid VIP Winning Cards will not be replaced or honored.

Any VIP Winning Card that is not redeemed by the end of the applicable festival day expires and has no cash or redemption value.

8. General Conditions

Breakaway reserves the right to disqualify any participant who, in Breakaway's reasonable determination, attempts to:

(a) manipulate or interfere with the Promotion or random distribution process;
(b) obtain unauthorized or duplicate free entries;
(c) duplicate, alter, reproduce, or counterfeit a VIP Winning Card or serial number;
(d) redeem a VIP Winning Card or serial number more than once; or
(e) otherwise violate these Official Rules.

Breakaway reserves the right, subject to applicable law, to modify, suspend, or terminate the Promotion if fraud, technical failure, safety concerns, operational circumstances, or other circumstances beyond Breakaway's reasonable control affect the integrity, fairness, security, or operation of the Promotion.

Breakaway's decisions concerning administration of the Promotion, participant eligibility, validation of VIP Winning Cards, serial-number verification, and redemption of VIP upgrades are final and binding to the extent permitted by applicable law.

9. Release and Limitation of Liability

By participating in the Promotion, participants agree to release and hold harmless Breakaway Music Festival, its affiliates, partners, sponsors, vendors, employees, officers, directors, and agents from claims arising out of participation in the Promotion or the acceptance, possession, use, or misuse of a VIP upgrade, except where prohibited by applicable law.

Nothing in these Official Rules limits any rights that cannot legally be waived under applicable law.
